Terms of Service

These terms govern all orders, services, and business relationships between AvoraPack and our clients. Please read them carefully before placing an order or engaging our services.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Buyer" or "Client") and AvoraPack ("Company," "we," "us," or "our"). By placing an order, submitting a purchase inquiry, or engaging our services in any form, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Acceptance of Terms

These Terms apply to all transactions, communications, and business relationships between AvoraPack and its clients. Engaging with AvoraPack -- whether through direct inquiry, written quotation acceptance, purchase order submission, or any other means of confirming an order -- constitutes full acceptance of these Terms.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, you must not proceed with placing an order.

AvoraPack reserves the right to update or modify these Terms at any time. The most current version will always be available on our website. Continued engagement with our services following any modification constitutes acceptance of the revised Terms.

Scope of Services

AvoraPack provides custom gift box and paper packaging manufacturing services, including but not limited to: rigid gift boxes, magnetic closure boxes, drawer boxes, lid and base boxes, foldable gift boxes, paper bags, and packaging inserts.

Our services encompass the full production process: requirements review, specification confirmation, structural design guidance, material selection, printing, surface finishing, insert fabrication, quality control, and export preparation.

AvoraPack does not operate as a stock packaging warehouse. All products are manufactured to order based on confirmed client specifications. We do not guarantee the availability of any specific material, finish, or configuration outside of what is agreed upon in a confirmed quotation.

Service scope for each project is defined in the quotation or order confirmation issued by AvoraPack. Any services or features not explicitly listed in the quotation are not included unless agreed upon in writing.

Orders & Specifications

An order is considered confirmed upon the Buyer's written acceptance of AvoraPack's quotation and receipt of the required deposit payment. Verbal agreements, informal communications, or partial payments do not constitute a confirmed order.

The Buyer is responsible for providing accurate, complete, and final specifications prior to order confirmation. This includes but is not limited to: box dimensions (length × width × height), box style, material grade, print colors (CMYK values or Pantone references), surface finish, insert type, and quantity.

AvoraPack will make reasonable efforts to identify specification gaps or ambiguities during the requirements review stage. However, the Buyer bears ultimate responsibility for the accuracy of all specifications submitted. AvoraPack shall not be liable for production outcomes that accurately reflect confirmed but incorrect specifications.

Specification changes requested after order confirmation may result in revised pricing, extended lead times, or additional sample fees. Such changes must be submitted in writing and confirmed by AvoraPack before they are incorporated into production.

Specification Checklist: To avoid delays, ensure you have confirmed box style, dimensions, material, Pantone or CMYK colors, finish type, insert requirements, and target quantity before submitting your order.

Sampling & Approval

For all custom orders, AvoraPack requires a physical sample to be produced, reviewed, and approved by the Buyer before bulk production commences. This sample stage is a mandatory part of our process and is not waived under any circumstances.

Sample production fees may apply and will be specified in the quotation. Sample fees may be credited toward the final order value upon bulk order confirmation, subject to the terms stated in the quotation.

Upon receipt of the physical sample, the Buyer must provide written approval or revision requests within the timeframe specified in the project communication. If no response is received within this period, AvoraPack reserves the right to pause the project or treat the sample as conditionally approved pending written confirmation.

Bulk production will only begin after AvoraPack has received written sample approval from the Buyer. Any defects, color discrepancies, or structural issues identified after bulk production that were present in the approved sample are the responsibility of the Buyer.

Revision rounds beyond those included in the quoted scope may incur additional fees. AvoraPack will communicate any additional costs before proceeding with further sample iterations.

Payment Terms

Standard payment terms for bulk orders are 50% deposit upon order confirmation and 50% balance payment prior to shipment release, unless otherwise agreed in writing. Specific payment schedules will be outlined in the quotation.

All quoted prices are in USD unless otherwise stated. Prices are valid for the period specified in the quotation. AvoraPack reserves the right to adjust pricing if material costs, currency rates, or other factors change materially between quotation and order confirmation.

Payments must be made via the methods specified in the invoice (bank transfer, letter of credit, or other agreed methods). AvoraPack does not accept cash payments. All bank transfer fees are the responsibility of the Buyer.

Failure to make payment on schedule may result in production delays, order suspension, or cancellation. AvoraPack reserves the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.

Quoted prices do not include import duties, customs fees, taxes, or other charges imposed by the destination country. These are entirely the Buyer's responsibility.

Production & Lead Times

Production lead times are estimates based on current capacity and the complexity of the order. Confirmed lead times are communicated in writing at the time of order confirmation. Lead time begins upon receipt of the required deposit and written sample approval, not from the date of initial inquiry.

AvoraPack will make reasonable efforts to meet confirmed lead times. However, delays caused by factors outside our direct control -- including material shortages, supplier delays, force majeure events, port congestion, or Buyer-caused delays (such as late specification confirmation or delayed sample approval) -- do not constitute a breach of these Terms.

If a production delay is anticipated, AvoraPack will notify the Buyer promptly with a revised timeline. The Buyer's sole remedy for production delays within AvoraPack's control is an adjusted delivery schedule. AvoraPack shall not be liable for consequential losses arising from delivery delays.

Rush production may be available subject to capacity and will incur additional fees. Rush requests must be confirmed in writing and are not guaranteed.

Shipping & Delivery

Unless otherwise agreed, all shipments are made EXW (Ex Works) or FOB from our facility. Incoterms applicable to each order will be specified in the quotation and order confirmation. The Buyer assumes risk of loss and damage upon handover to the carrier at the agreed point of delivery.

Shipping arrangements, freight forwarding, customs clearance, and import compliance at the destination are the Buyer's responsibility unless AvoraPack has explicitly agreed to manage these services in writing.

AvoraPack will prepare goods for export in standard commercial packaging appropriate for the shipping method. Special export packing requirements must be communicated at the time of order and may affect pricing and lead time.

AvoraPack is not responsible for delays, damage, or loss occurring during transit once goods have been handed over to the carrier. The Buyer is encouraged to arrange appropriate cargo insurance for all international shipments.

Quality & Tolerances

AvoraPack is committed to producing packaging that meets the specifications confirmed in the approved sample. All bulk production is subject to quality control checks at key stages of the manufacturing process.

Industry-standard manufacturing tolerances apply to all orders. Dimensional tolerances of ±2mm and color tolerances consistent with standard commercial printing practices are acceptable and do not constitute defects. These tolerances reflect normal variation in the manufacturing process and are not grounds for rejection or claims.

Quantity tolerances of ±5% of the confirmed order quantity are standard in custom packaging manufacturing. AvoraPack will invoice based on actual quantity shipped within this tolerance range. Buyers should account for this when planning inventory.

Claims for defective goods must be submitted in writing within 14 days of delivery, accompanied by photographic evidence and a detailed description of the issue. Claims submitted after this period may not be accepted. AvoraPack's liability for confirmed defects is limited to replacement of the defective quantity or a credit toward a future order, at AvoraPack's discretion.

Intellectual Property

The Buyer warrants that all artwork, logos, trademarks, images, and other content submitted to AvoraPack for use in packaging production are owned by the Buyer or that the Buyer has obtained all necessary rights and permissions to use such content for the intended purpose.

The Buyer indemnifies and holds AvoraPack harmless from any claims, damages, or expenses arising from alleged infringement of third-party intellectual property rights resulting from the use of Buyer-submitted content.

AvoraPack retains ownership of any structural designs, dielines, tooling, or production templates developed by AvoraPack during the course of a project, unless a separate written agreement assigns such rights to the Buyer. Buyer-provided artwork and brand assets remain the property of the Buyer.

AvoraPack may use images of completed packaging for portfolio, marketing, and promotional purposes unless the Buyer requests confidentiality in writing prior to production. Confidential projects will not be featured in any public-facing materials.

Cancellations & Changes

Confirmed orders may not be cancelled without AvoraPack's written consent. If a cancellation is approved, the Buyer will be responsible for all costs incurred up to the point of cancellation, including materials purchased, tooling produced, and work completed. Deposits are non-refundable in the event of Buyer-initiated cancellation after production has commenced.

Order quantity reductions after confirmation are subject to pricing adjustments, as unit costs are calculated based on the confirmed quantity. Significant quantity reductions may require a revised quotation.

Specification changes after order confirmation must be submitted in writing. AvoraPack will assess the impact on cost, lead time, and any work already completed, and provide a written change order for Buyer approval before proceeding. Verbal change requests will not be actioned.

Limitation of Liability

To the fullest extent permitted by applicable law, AvoraPack's total liability to the Buyer for any claim arising out of or related to an order shall not exceed the total amount paid by the Buyer for the specific order giving rise to the claim.

AvoraPack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunity, or damage to brand reputation, even if AvoraPack has been advised of the possibility of such damages.

AvoraPack is not liable for any failure to perform its obligations under these Terms if such failure results from circumstances beyond its reasonable control, including natural disasters, government actions, strikes, pandemics, supply chain disruptions, or other force majeure events.

Confidentiality

Both parties agree to treat as confidential any non-public business information, pricing, specifications, artwork, product plans, or other proprietary information disclosed in the course of the business relationship. This obligation survives the completion or termination of any order.

AvoraPack will not disclose Buyer-specific information to third parties without the Buyer's prior written consent, except as required by law or as necessary to engage subcontractors or manufacturing partners in fulfilling the order, provided such parties are bound by equivalent confidentiality obligations.

Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, or that was already known to the receiving party prior to disclosure.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AvoraPack is registered, without regard to its conflict of law provisions.

In the event of a dispute arising from or related to these Terms or any order, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails to resolve the dispute within 30 days, the parties agree to submit the matter to binding arbitration in accordance with the rules of a recognized arbitration body agreed upon by both parties.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm.
